By creating a seller account on IgetAm, you agree to this Seller Agreement. You are 100% responsible for your listings and transactions.
1. Acceptance
By creating a seller account and listing products/services on IgetAm Marketplace ("Platform"), you ("Seller") agree to be bound by this Seller Agreement, the Terms of Use, and all Platform policies.
2. Seller Obligations
2.1 Legality of Goods and Services
Sellers warrant and represent that:
- All products/services offered are legal to sell, possess, and distribute in Nigeria
- All items comply with applicable Nigerian laws, regulations, and standards
- Sellers possess all necessary licenses, permits, and authorizations
- No products infringe intellectual property rights or trademarks
- No counterfeit, stolen, or fraudulent goods will be listed
2.2 Accuracy of Listings
Sellers are solely responsible for ensuring that all listings contain:
- Accurate descriptions of products/services (condition, specifications, features)
- Truthful pricing with no hidden fees or misleading information
- Genuine photographs of actual items (not stock images unless disclosed)
- Honest condition statements (new, used, refurbished, etc.)
- Accurate availability (do not list items you cannot supply)
2.3 Product Quality and Authenticity
Sellers guarantee that:
- Products match descriptions and images provided
- Items are authentic and not counterfeit
- Goods are safe, functional, and fit for intended purpose
- Services are delivered as promised
2.4 Compliance with Nigerian Laws
Sellers must comply with:
- Consumer Protection Council Act (CPC Act) 1992
- Standards Organisation of Nigeria (SON) product standards
- National Agency for Food and Drug Administration and Control (NAFDAC) regulations (if applicable)
- Federal Competition and Consumer Protection Act 2018
- Tax laws (VAT, income tax, business registration)
- Employment laws (if hiring staff)
- Environmental regulations (waste disposal, packaging)
3. Prohibited Items
🚫 STRICTLY PROHIBITED
Sellers SHALL NOT list:
- ❌ Illegal drugs, narcotics, or controlled substances
- ❌ Weapons, firearms, explosives, or ammunition
- ❌ Stolen goods or items of questionable origin
- ❌ Counterfeit or pirated products
- ❌ Human organs, body parts, or biological materials
- ❌ Endangered species or wildlife products
- ❌ Adult content, pornography, or sexually explicit materials
- ❌ Fraudulent services (e.g., fake diplomas, forged documents)
- ❌ Pyramid schemes or multi-level marketing schemes
- ❌ Hazardous or toxic materials without proper licensing
⚠️ Violation will result in immediate account termination without refund.
4. Seller Liability for Disputes
4.1 Direct Responsibility
Sellers acknowledge and agree that they are 100% responsible for:
- All disputes with buyers regarding product quality, delivery, or payment
- Honoring representations and commitments made to buyers
- Providing refunds, replacements, or remedies as appropriate
- Resolving complaints in good faith
- Legal liability for defective, counterfeit, or dangerous products
4.2 Platform Non-Involvement
⚠️ Platform is NOT a Party to Transactions
THE PLATFORM IS NOT A PARTY TO TRANSACTIONS and has NO OBLIGATION to:
- • Mediate disputes between sellers and buyers
- • Enforce seller obligations or buyer claims
- • Provide refunds, compensation, or remedies
- • Verify buyer complaints or seller defenses
4.3 Buyer Claims
If a buyer files a legal claim against a seller, the seller shall:
- Defend the claim at their own expense
- Indemnify the Platform for any losses arising from the claim
- Not involve the Platform in litigation
5. Indemnification
Sellers agree to indemnify, defend, and hold harmless IGETAM DIGITAL COMMERCE LTD, its officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising from:
- Seller's listings, products, or services
- Breach of this Seller Agreement or Terms of Use
- Violation of any laws or third-party rights
- Seller's negligence or wrongful conduct
- Product defects, safety issues, or health hazards
- Intellectual property infringement claims
- Consumer protection claims or regulatory actions
- Any transactions between seller and buyers
6. Platform Rights
6.1 Right to Remove Listings
The Platform reserves the absolute and unconditional right to:
- Remove any listing at any time without notice or explanation
- Suspend or terminate seller accounts for policy violations
- Refuse to publish or restore removed listings
- Modify, edit, or relocate listings for Platform organization
6.2 No Guarantee of Visibility
The Platform does NOT guarantee:
- Listing visibility, ranking, or placement
- Sales, inquiries, or buyer engagement
- Continued availability of Platform services
- Specific traffic or exposure levels
7. Payment of Fees
7.1 Access Fee
💰 Annual Subscription: ₦2,000/Year
Sellers must pay an annual subscription fee of ₦2,000 before storefront activation. This fee:
- ✓ Non-refundable under any circumstances
- ✓ Provides 12 months of unlimited access to the platform
- ✓ Renews annually to maintain seller status
- ✓ Not contingent on sales performance or Platform success
- ✓ Subject to change for new registrations (existing sellers unaffected during active subscription)
7.2 No Additional Transaction Fees
Beyond the annual subscription, the Platform does NOT charge:
- Commission on sales
- Per-listing fees
- Percentage-based transaction fees
- Additional monthly fees
7.3 Subscription Expiry and Renewal
Sellers acknowledge that:
- Subscriptions expire after 12 months from the payment date
- Seller status will be deactivated upon subscription expiry
- Listings will be hidden until subscription is renewed
- Renewal requires payment of the current annual fee
- No automatic refunds or pro-rata refunds for unused subscription time
8. Account Security
Sellers must:
- Maintain confidentiality of login credentials
- Use strong, unique passwords
- Enable two-factor authentication if available
- Notify Platform immediately of unauthorized access
- Accept responsibility for all activities under their account
9. Seller Conduct
Sellers must NOT:
- Create multiple accounts to circumvent restrictions
- Manipulate prices or engage in anti-competitive practices
- Post fake reviews or ratings
- Harass, defame, or threaten buyers or other sellers
- Spam buyers with unsolicited messages
- Use Platform data for purposes outside the Platform
- Reverse-engineer or scrape Platform content
10. Taxation
Sellers are solely responsible for:
- Registering for and paying all applicable taxes (VAT, income tax, business taxes)
- Obtaining tax identification numbers (TIN)
- Filing tax returns and maintaining financial records
- Compliance with Federal Inland Revenue Service (FIRS) requirements
The Platform does NOT withhold taxes or provide tax advice.
11. Termination
11.1 Termination by Seller
Sellers may terminate their account at any time by notifying the Platform. No refunds will be provided.
11.2 Termination by Platform
The Platform may terminate seller accounts immediately and without notice for:
- Violation of this Agreement or Terms of Use
- Prohibited item listings
- Fraudulent or illegal activity
- Multiple buyer complaints
- Non-payment of fees
- Any reason deemed appropriate by the Platform
11.3 Effect of Termination
Upon termination:
- All listings will be removed
- Access to seller dashboard will be revoked
- No refund of access fee
- Outstanding obligations survive termination (indemnification, liability)
12. Limitation of Liability
⚖️ Maximum Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Platform's total liability to any seller SHALL NOT EXCEED ₦2,000 (the access fee paid). The Platform is NOT LIABLE for:
- • Lost profits, revenue, or business opportunities
- • Buyer disputes, refund claims, or chargebacks
- • Product liability claims
- • Regulatory fines or penalties
- • Any indirect, consequential, or punitive damages
13. Governing Law and Dispute Resolution
This Agreement is governed by Nigerian law. Disputes shall be resolved through:
- Good-faith negotiation (30 days)
- Binding arbitration in Lagos, Nigeria (if negotiation fails)
- Lagos State courts (for non-arbitrable matters)
