By using IgetAm Marketplace, you agree to these Terms of Service. Please read them carefully. We are NOT a party to transactions between buyers and sellers.
1. Acceptance of Terms
By accessing, browsing, or using the IgetAm Marketplace platform (the "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use ("Terms") and all applicable laws and regulations of the Federal Republic of Nigeria. If you do not agree to these Terms, you must immediately cease using the Platform.
2. Definitions
- "Platform" means the IgetAm Marketplace website, mobile applications, and all related services operated by IGETAM DIGITAL COMMERCE LTD.
- "Vendor" or "Seller" means any user who creates a storefront, lists products or services, or offers goods for sale through the Platform.
- "Buyer" means any user who browses listings, contacts sellers, or engages in transactions with sellers.
- "User" means any person accessing or using the Platform, including both Buyers and Sellers.
- "Transaction" means any purchase, sale, exchange, or agreement between Buyers and Sellers.
3. Nature of Platform Services
3.1 Intermediary Role Only
IGETAM DIGITAL COMMERCE LTD operates exclusively as a classified listings platform and digital marketplace directory. The Platform provides:
- A venue for Sellers to create storefronts and list products/services
- A discovery mechanism for Buyers to browse and search listings
- Contact information to facilitate direct communication between Buyers and Sellers
3.2 No Party to Transactions
🚫 THE PLATFORM IS NOT A PARTY TO ANY TRANSACTION
IGETAM DIGITAL COMMERCE LTD does NOT:
- ❌ Purchase, sell, resell, or distribute any products or services
- ❌ Process payments or handle money transfers
- ❌ Arrange, facilitate, or participate in delivery or logistics
- ❌ Verify, inspect, authenticate, or guarantee products or services
- ❌ Mediate, arbitrate, or resolve disputes between Users
- ❌ Act as agent, representative, or intermediary for any User
- ❌ Provide escrow, payment protection, or buyer guarantee services
3.3 Direct User Communication
All communication, negotiation, and transactions occur directly between Buyers and Sellers, typically via WhatsApp, phone, or in-person meetings. The Platform merely provides contact information to enable such direct communication.
4. User Responsibilities
4.1 Buyer Responsibilities
Buyers acknowledge and agree that they are solely responsible for:
- Verifying the identity, legitimacy, and trustworthiness of Sellers
- Inspecting products before purchase and payment
- Negotiating prices, payment terms, and delivery arrangements
- Ensuring personal safety during meetings with Sellers
- Reporting suspected fraud, counterfeit goods, or illegal activity
- Resolving all disputes directly with Sellers
- Complying with all applicable laws in their transactions
4.2 Seller Responsibilities
Sellers acknowledge and agree that they are solely responsible for:
- The accuracy, completeness, and legality of all listings
- The quality, authenticity, and condition of products/services offered
- Compliance with all applicable Nigerian laws and regulations
- Fulfillment of all commitments and representations made to Buyers
- All aspects of payment collection, delivery, and customer service
- Resolving all disputes with Buyers
- Obtaining all necessary licenses, permits, and authorizations
- Payment of all applicable taxes and duties
5. Platform Fees
5.1 Seller Access Fee
Sellers pay an annual subscription fee of Two Thousand Naira (₦2,000.00) to create and maintain a storefront on the Platform. This fee is:
- Non-refundable under any circumstances
- Not contingent on sales, transactions, or platform usage
- Payable before storefront activation
- Subject to change at the Platform's sole discretion for new registrations
5.2 No Transaction Fees
The Platform does NOT charge commissions, transaction fees, or percentage-based fees on sales between Buyers and Sellers.
6. Limitation of Liability
⚖️ Maximum Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY NIGERIAN LAW, the total aggregate liability of IGETAM DIGITAL COMMERCE LTD, its directors, officers, employees, agents, and affiliates for any and all claims arising from or related to the use of the Platform SHALL NOT EXCEED Two Thousand Naira (₦2,000.00), being the access fee paid by the User to the Platform.
6.1 Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, whether express or implied, including but not limited to:
- Merchantability, fitness for a particular purpose, or non-infringement
- Accuracy, reliability, or completeness of listings or user content
- Uninterrupted, secure, or error-free operation
- Product quality, authenticity, legality, or safety
- Seller legitimacy, trustworthiness, or performance
- Buyer payment capability or good faith
6.2 Exclusion of Consequential Damages
UNDER NO CIRCUMSTANCES shall IGETAM DIGITAL COMMERCE LTD be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Personal injury, death, or property damage arising from user transactions
- Fraud, misrepresentation, or criminal acts by Users
- Defective, counterfeit, stolen, or illegal goods
- Payment disputes, non-payment, or financial losses
- Delivery failures, delays, or damages
- Any damages arising from user reliance on platform content
7. Indemnification
You agree to indemnify, defend, and hold harmless IGETAM DIGITAL COMMERCE LTD, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers from and against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use or misuse of the Platform
- Your violation of these Terms
- Your violation of any rights of third parties
- Your listings, products, services, or representations
- Your transactions with other Users
- Your violation of any applicable laws or regulations
- Any negligent or wrongful conduct on your part
8. Prohibited Activities
Users must NOT:
- Post false, misleading, or fraudulent listings
- Offer illegal, stolen, counterfeit, or prohibited goods
- Engage in price manipulation, bid rigging, or market abuse
- Harass, threaten, defame, or harm other Users
- Impersonate any person or entity
- Violate intellectual property rights
- Transmit viruses, malware, or harmful code
- Scrape, data-mine, or extract platform content
- Use the Platform for money laundering or illegal purposes
9. Account Suspension and Termination
The Platform reserves the absolute and unconditional right to:
- Suspend or terminate any account at any time without prior notice
- Remove any listing or content without explanation
- Refuse service to any User for any reason
- Modify, suspend, or discontinue the Platform without liability
Account suspension or termination does NOT entitle Users to any refund of the access fee or compensation of any kind.
10. Dispute Resolution
10.1 User-to-User Disputes
ALL DISPUTES BETWEEN BUYERS AND SELLERS must be resolved directly between the parties. The Platform has no obligation to mediate, arbitrate, or intervene in such disputes.
10.2 Platform-Related Disputes
Any dispute between a User and IGETAM DIGITAL COMMERCE LTD shall be resolved as follows:
- Negotiation: Parties shall first attempt good-faith negotiation for thirty (30) days.
- Arbitration: If negotiation fails, disputes shall be submitted to binding arbitration under the Arbitration and Mediation Act (CAP A18 LFN 2004) in Lagos, Nigeria.
- Governing Law: These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
- Jurisdiction: The courts of Lagos State, Nigeria shall have exclusive jurisdiction over any matters not subject to arbitration.
11. Modifications to Terms
The Platform reserves the right to modify these Terms at any time. Users will be notified of material changes via email or Platform notice. Continued use of the Platform after modifications constitutes acceptance of the revised Terms.
